The process in six stages
-
1 · Teaser and memorandum
Publicly available key facts, project film and interactive calculators. You request the information memorandum with a short declaration of interest and receive access by email immediately.
-
2 · Non-disclosure agreement
For confidential documents you confirm the confidentiality and commission agreement online. Confirmation by click constitutes text form under German law (§ 126b BGB); you receive a copy immediately.
-
3 · Data room
We submit your request to the owner for approval — normally within four working days of receiving the NDA. The owner decides on access; once approved you receive your personal access automatically. Contents: land register, zoning documents, expert reports, calculation bases and the full assumptions and KPI analysis including its list of sources.
-
4 · Indicative bid
You submit a non-binding price indication directly via the bid form in the memorandum. We respond within three working days with the next steps.
-
5 · Review, Q&A, binding bid
Questions are answered collectively and identically for all bidders. On that basis we invite selected parties to submit a binding bid with proof of financing.
-
6 · Notarisation
A purchase agreement only comes into existence through notarisation (§ 311b BGB). Until then neither side is bound.
What a bid should contain
- Purchase price in euros, net, excluding transaction costs
- Acquisition structure — asset deal, share deal or joint (forward) development
- Financing — equity share and status of any commitment; a proof of financing is required with the binding bid
- Intended use — operator concept, own operation or individual resale
- Reservations and conditions — board approval, scope of due diligence, intended timetable
- Validity period of your bid
Complete bids can be assessed faster and are treated with priority — not because they are higher, but because they are verifiable.
Deadlines and equal treatment
- Memorandum access: immediately on request
- Data room request submitted to the owner: normally within four working days of the NDA
- Response to a bid: within three working days
- Questions: answered collectively and identically for all bidders
A binding bid deadline is communicated together with data room access and then applies equally to all bidders. As long as no deadline is set, incoming bids are reviewed on a rolling basis.
Legal notes
Not an auction. This is a structured bidding process. There is no knock-down award and no automatic acceptance of the highest bid.
Without obligation. The owner decides freely on acceptance, renegotiation or rejection of a bid and is not obliged to accept the highest bid, or any bid at all. The process may be amended or discontinued at any time.
No warranty. All figures in the memorandum, film and calculators are model assumptions based on disclosed premises — no warranty, no guarantee and no investment advice. Only the data room documents and the notarised purchase agreement are binding.
Commission. Buyer commission 3.57 % incl. VAT on the purchase price, earned and due upon notarisation. Brokerage on behalf of the owner.
Right of withdrawal. Consumers may withdraw from contracts concluded online within fourteen days — conveniently via this page.
